Welcome to FanBond Terms and Conditions of Use (these “Terms”). This is a contract between you and the FanBond (as defined further below) and we want you to know yours and our rights before you use the FanBond website or application (“ FanBond” or the “App”). Please take a few moments to read these Terms before enjoying the App, because once you access, view or use the App, you are going to be legally bound by these Terms (so probably best to read them first!).

1. FanBond Rules

Before you can use the App, you will need to register for an account (“Account”). In order to create an Account you must:

• be at least 18 years old or the age of majority to legally enter into a contract under the laws of your home country; and

• be legally permitted to use the App by the laws of your home country.

If you are under the age of 18, you may not download or use our Services. We do not knowingly collect or maintain information from children under age 18. Please, choose carefully the information you post on our Services and the information you provide to other Members. Your Service profile may not include the following items: nude, violent or offensive images or texts. The information posted by other Service Members may contain inaccurate, inappropriate or offensive materials, products or services and Service assumes no responsibility or liability for this material.

We reserve the right, in its sole discretion, to reject, refuse to post or remove any posts (including email) by you, or to restrict, suspend, or terminate your access to all or any part of the mobile application and website and/or Services at any time, for any or no reason, with or without prior notice, and without liability.

We may modify this Agreement occasionally, and such modification shall be effective upon posting by us on the mobile application and website. We may update you on our changes through your email or notify you through the mobile app or website. You agree to be bound by any changes to this Agreement when you use the Service after any such modification is posted. This Agreement includes Service’s policy for acceptable use and content posted on the mobile application and website, your rights, obligations, and restrictions regarding your use of the mobile application and website.

2. Description of Service

FanBond is an interactive social networking platform designed to facilitate connections between users. The service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties or guarantees. FanBond disclaims all responsibility for the accuracy, reliability, or availability of the service, including but not limited to the timeliness, deletion, or failure to store any user data, messages, or personalized settings. We also reserve the right to impose limitations on certain features or restrict access to parts or all of the service without notice or liability.

3. Registration Obligations

To access certain features of FanBond, you must register and create an account, providing accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy and completeness. FanBond reserves the right to suspend or terminate accounts found to contain false or misleading information. By registering, you also agree to receive communications from FanBond electronically, including notices, agreements, disclosures, and updates.

4. Member Account, Password, and Security

You are responsible for maintaining the confidentiality of your password and account and for all activities that occur under your account. You agree to immediately notify FanBond of any unauthorized use of your account or any other breach of security. FanBond will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by FanBond or others due to unauthorized use of your account.

5. Privacy

Your use of FanBond is subject to our Privacy Policy, which details how we collect, use, and protect your personal information. By using the service, you consent to the practices described in the Privacy Policy, including the collection and use of your data. FanBond takes reasonable measures to protect your privacy and personal information but cannot guarantee absolute security.

6. User Conduct

You agree to use FanBond only for lawful purposes and in accordance with these Terms of Use. You are prohibited from posting or transmitting through the service any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or otherwise objectionable content. 7. Termination

FanBond reserves the right to suspend or terminate your account and access to the service at its discretion, with or without cause, and with or without notice. Grounds for such termination may include but are not limited to, a breach of these Terms of Use, non-payment of fees, or engagement in illegal or prohibited activities. Upon termination, your right to use the service will immediately cease, and any data associated with your account may be deleted at our discretion.

8. Modifications to Service

FanBond reserves the right to modify, suspend, or discontinue the service (or any part thereof) at any time with or without notice. You agree that FanBond shall not be liable to you or any third party for any such modification, suspension, or discontinuance. We may also impose limits on certain features and services or restrict your access to parts or all of the service without notice or liability.

9. External Links

The service may include links to external websites or resources. FanBond has no control over such sites and resources and is not responsible for their availability or content. You acknowledge and agree that FanBond is not liable for any loss or damage caused by your use of or reliance on any external websites or resources. Any dealings with third parties found on or through the service, including payment and delivery of goods or services, are solely between you and such third parties.

10. Intellectual Property Rights

All content on FanBond, including but not limited to text, graphics, logos, images, audio clips, video clips, software, and the compilation thereof, is the property of FanBond or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our site, except as expressly permitted by these Terms of Use. Unauthorized use of any intellectual property may violate copyright, trademark, and other laws.

11. Disclaimer of Warranties

FanBond provides the service on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. FanBond expressly disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. FanBond does not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume all responsibility and risk for your use of the service.

12. Limitation of Liability

In no event shall FanBond, its affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to, use of, or inability to access or use the service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if FanBond has been advised of the possibility of such damages. The aggregate liability of FanBond to you for all claims arising out of or relating to the use of the service shall not exceed the greater of the amount paid by you to FanBond or one hundred dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless FanBond, its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the service, including, but not limited to, your User Content, any use of the service's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the service.

14. Governing Law

These Terms of Use and any disputes arising out of or related to these Terms of Use or the service shall be governed by and construed in accordance with the laws of the jurisdiction in which FanBond operates, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located within that jurisdiction for the purpose of litigating all such claims or disputes.

15. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms of Use or the service, you and FanBond agree to attempt to resolve the dispute informally before initiating any arbitration or legal proceeding. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association or a similar organization. The arbitration shall take place in a location mutually agreed upon by the parties, and the arbitrator's decision shall be final and binding.

16. Severability

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall continue in full force and effect. The invalidity of a particular provision shall not affect the enforceability of any other provision, and the parties agree to replace any invalid provision with a valid provision that most closely approximates the original intent and economic effect of the invalid provision.

The failure of FanBond to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by a duly authorized representative of FanBond.

18. Entire Agreement

These Terms of Use constitute the entire agreement between you and FanBond with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. Any additional terms, conditions, or rules posted on the service or provided in connection with specific services, including, but not limited to, rules for particular contests, promotions, or features, are incorporated by reference into these Terms of Use.

19. No Third-Party Beneficiaries

These Terms of Use are for the benefit of you and FanBond and are not intended to confer any rights or benefits on any third party, except as expressly provided herein. No third party shall have the right to enforce any provision of these Terms of Use or assert any claim against FanBond arising out of or related to these Terms of Use or the service.

20. Notices

All notices required or permitted under these Terms of Use shall be in writing and shall be deemed given when delivered personally, by courier, by certified or registered mail, return receipt requested, or by email to the email address provided by you upon registration (in your case) or to hello@datefans.co (in the case of FanBond)

. Notices delivered by email shall be deemed received on the day they are sent, provided that the sender does not receive a notification of delivery failure.

21. Assignment

You may not assign, delegate, or transfer these Terms of Use or your rights or obligations hereunder, in whole or in part, whether by operation of law or otherwise, without the prior written consent of FanBond. Any attempt to assign or transfer these Terms of Use without such consent will be null and void. FanBond may assign, transfer, or delegate any of its rights or obligations under these Terms of Use without your consent.

22. Feedback

FanBond welcomes your feedback and suggestions regarding the service. By submitting feedback, you grant FanBond

an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use your feedback in any manner and for any purpose, including to improve the service and to create other products and services. You acknowledge that your feedback may be used without compensation or credit, and you waive any claims to the contrary.

23. Prohibited Activities

In addition to the restrictions set forth in these Terms of Use, you agree not to engage in any of the following prohibited activities:

• a. Unauthorized Access: Attempting to gain unauthorized access to the service, other user accounts, computer systems, or networks connected to the service through hacking, password mining, or any other means.

• b. Circumventing Security Measures: Using any device, software, or routine to interfere or attempt to interfere with the proper working of the service or any activity conducted on the service, or bypassing measures used to prevent or restrict access to the service.

• c. Data Mining: Using any automated system, including but not limited to "robots," "spiders," "offline readers," etc., to access the service in a manner that sends more request messages to the servers than a human can reasonably produce in the same period of time by using a conventional online web browser.

• d. Unlawful Activities: Engaging in any activity that violates any applicable laws, regulations, or rules, or that promotes illegal activities, including but not limited to fraud, money laundering, and dissemination of false information.

• e. Disruptive Conduct: Engaging in any conduct that restricts or inhibits any other person from using or enjoying the service or that, in our sole discretion, exposes FanBond or any of its users, partners, or affiliates to any liability, damage, or detriment of any type.

24. Third-Party Services

FanBond may provide tools that enable you to export information, including User Content, to third-party services, including through features that allow you to link your account with an account on a third-party service, such as Twitter or Facebook, or through our implementation of third-party buttons (such as "like" or "share" buttons). By using one of these tools, you agree that FanBond may transfer that information to the applicable third-party service. Third-party services are not under our control, and we are not responsible for any third-party service’s use of your exported information.

25. Advertising

FanBond

may include advertisements and sponsorships. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the service is accurate and complies with applicable laws. FanBond will not be responsible for the illegality or any error, inaccuracy, or problem in the advertiser’s or sponsor’s materials. Additionally, your dealings with advertisers and other third parties found on or through the service, including payment and delivery of goods, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and the advertiser or other third party.

26. No Waiver

The failure of FanBond to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by a duly authorized representative of FanBond.

28. Changes to the Terms of Use

Your continued use of the service following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

29. Term and Termination

These Terms of Use will remain in full force and effect while you use the service. FanBond

may terminate your access to the service, in its sole discretion, for any reason or no reason, including but not limited to your breach of these Terms of Use. Upon termination of your account, your right to use the service will immediately cease. All provisions of these Terms of Use, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

30. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published by FanBond on the service, shall constitute the entire agreement between you and FanBond concerning the service. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.

31. Governing Law and Jurisdiction

These Terms of Use shall be governed and construed in accordance with the laws of the jurisdiction in which FanBond operates, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the service shall be instituted exclusively in the federal courts of [Applicable Jurisdiction]. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

32. Miscellaneous

These Terms of Use, along with any amendments and any additional agreements you may enter into with FanBond in connection with the service, shall constitute the entire agreement between you and FanBond concerning the service. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.
